1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of GuildLink ("we," "our," or "us") and our website at https://guildlink.app, including all related services, integrations, and software (collectively, the "Service").

By using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Service Description

GuildLink is a Software-as-a-Service (SaaS) platform that integrates with Discord to provide a web interface for managing servers, data, and community features.

Authentication is handled by Clerk, and payments (if applicable) are processed by Stripe or other designated providers.

3. Eligibility

You must:

• Be at least 13 years old (or the legal minimum in your jurisdiction);
• Have the authority to bind any organization you represent;
• Use the Service in compliance with these Terms and all applicable laws.

We reserve the right to suspend or terminate accounts that violate these conditions.

4. Accounts and Authentication

• User accounts are managed through Clerk and authenticated via Discord OAuth.
• You are responsible for maintaining the confidentiality of your login credentials and ensuring secure access to your account.
• GuildLink is not responsible for unauthorized access caused by your failure to secure your credentials.
• We may, at our discretion, suspend or terminate accounts that appear compromised or in violation of our policies.

5. Acceptable Use

You agree not to:

• Use GuildLink for unlawful or malicious purposes;
• Access or modify data that you do not own or have permission to manage;
• Interfere with, disrupt, or overload the Service or its infrastructure;
• Attempt to reverse-engineer, decompile, or exploit any part of the Service;
• Misuse the Discord API or violate Discord's Terms of Service.

Violations may result in suspension, termination, or legal action.

6. Third-Party Services

GuildLink integrates with third-party services including Discord, Clerk, and Stripe. Use of these services is subject to their respective terms and privacy policies:

We are not responsible or liable for any issues, data breaches, downtime, or damages arising from third-party integrations.

7. Subscriptions and Payments

If the Service includes paid features:

• Payments are processed by third-party providers (e.g., Stripe);
• Prices, features, and billing terms are subject to change with notice;
• You are responsible for any applicable taxes or fees.

Failure to complete payment may result in suspension or termination of access to paid features.

All purchases are non-refundable, except as required by law.

8. Intellectual Property

All content, code, branding, and design elements within GuildLink are owned by us or our licensors. You may not copy, modify, distribute, or resell any part of the Service without our written permission.

You retain ownership of your data and content submitted through the Service, but grant us a non-exclusive, worldwide license to host and process it as needed to provide functionality.

9. Data and Privacy

Our collection and use of personal information are governed by the GuildLink Privacy Policy, available at https://guildlink.app/privacy.

By using the Service, you consent to data handling as described in that policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, secure, or error-free operation, nor that the Service will meet your specific needs.

GuildLink disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, GuildLink, its owners, employees, contractors, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to:

• Data loss or corruption;
• Unauthorized access to accounts or data;
• Downtime, loss of revenue, or loss of goodwill;
• Errors or failures by Discord, Clerk, Stripe, or other third parties.

In no event shall GuildLink's total liability exceed the amount you paid (if any) in the three months preceding the event giving rise to the claim.

You agree to indemnify and hold GuildLink harmless from any claims, damages, or expenses arising out of your use or misuse of the Service.

12. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason — including breach of these Terms or inactivity. Upon termination, your right to use the Service will immediately cease, but Sections 8–11 (intellectual property, data, disclaimers, liability) will continue to apply.

13. Changes to the Terms

We may revise these Terms at any time. Updates will be posted at https://guildlink.app/terms with a new "Last Updated" date.

Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed under the laws of the State of California, United States, without regard to conflict-of-law principles. Any legal action related to these Terms shall be filed and resolved exclusively in the courts located in California, USA, and you consent to that jurisdiction.
